Terms and conditions

On behalf of your business, you certify that all information provided in this Application is complete and accurate.

You agree that your transactions with Digitizer Corp shall be governed by and construed in accordance with the laws of your State of incorporation without giving effect to its conflicts of laws principals.

By signing this agreement, we agree to the additional terms and conditions as below:

1.On signing this agreement, the Seller hereby authorizes the Digitizer Corp to show case branded technology products at the reseller storefront. The products are listed as listed on Digitizer Corp website www.digitizerglobal.com. Digitizer will apply its brand potential scorecard and will gradually increase the brands after verifying the brand potential on the location. The Reseller can send its feedback, and the Digitizer will implement the reseller feedback in brand and products selection.

2.The Seller will be responsible for the safe custody of the products in hand and sell those products to customers under the authority provided by the Digitizer Corp under this agreement. The seller will be responsible for compensating the Digitizer Corp with Invoice value for any damage/loss/theft or destruction or reduction in value of the product whatsoever it may be.

3.Digitizer Corp shall determine the timeframe of addition, replacement and deletion of the Digitizer Corp products on the seller store front. For example, if the product / brand could not demonstrate revenue potential for a week of display, Digitizer Corp shall pick up the product and replace it with different product or brand and will issue adjustment note to the Seller to adjust the Invoice and Packaging slip. The seller will be responsible for to safely return the product to Digitizer Corp logistic team and allow to showcase the replacement.

4.Digitizer Corp will issue invoice, and issue adjustment notes to the seller incorporating all the adjustment and all times showing the correct amount receivable for Seller, which is equal to the products in hands of the Seller. Digitizer Logistic team shall visit the store front twice a week (Monday and Thursday) and refill/replace/remove or adjust the inventory. The Seller will be responsible to settle the invoice amount payable to Digitizer Corp to Logistic team against the products which are not physically present in original condition on the store front on every visit of the logistic team. The payment mode shall be in cash or interact to info@digitizercorp.com.

5.Digitizer Corp shall mention the Seller cost price and minimum sale price (MRSP) on the packaging Slip and invoice to seller on the seller cost price plus applicable taxes & duties in local currency.

6.Reseller can contact to Digitizer sales team for all inquiries sales@digitizercorp.com and Logistics logisitics@digitizercorp.com

7.All other terms and conditions which are mutually agreed between Digitizer Corp and Seller will become part of this agreement and annexed as an addendum to this agreement.

8.Digitizer Corp and Seller shall comply with all applicable laws and regulations and any applicable policies. Any dispute shall be governed by the laws of Ontario/ Canada.
